Evan Barth joined Kyndryl Holdings, Inc. in 2021 as Vice President, Associate General Counsel and Assistant Secretary, in connection with Kyndryl’s spin off from IBM. Evan was an attorney in the Corporate Securities and Governance group at IBM from 2008 until 2021. Prior to IBM, Evan was a corporate securities and executive compensation attorney at Sullivan & Cromwell and Loeb & Loeb. Evan graduated from NYU Law School and is an attorney in good standing in New York.
Prabha Sipi Bhandari
SVP, deputy general counsel and corporate secretary
Prabha Sipi Bhandari is SVP, Deputy General Counsel & Corporate Secretary at AIG. In this role, she oversees AIG’s NYSE and SEC compliance; capital markets and M&A transactions; Cyber/Privacy; IP; IT, Procurement and Real Estate Legal support; and Innovation, among other corporate matters. In her role as Corporate Secretary, Ms. Bhandari acts as the primary liaison to the AIG Board on Board and Board Committee-related matters.
Prior to AIG in June 2022, Ms. Bhandari was SVP and Principal Deputy General Counsel at Freddie Mac, where she supervised a team of over 125 attorneys and legal professionals who advise and support the company’s business divisions, finance, the Sustainability Office and other enterprise functions and directly managed a group of attorneys and legal professionals providing corporate securities advice and support, including in capital markets, derivatives, tax and SEC compliance / financial disclosures. Ms. Bhandari supervised the full Legal Division of more than 200 colleagues and served as Executive Sponsor of the Legal Division’s diversity, equity and inclusion initiatives, including robust internship and fellowship programs.
Prior to Freddie Mac, Ms. Bhandari was Managing Director and General Counsel of Deutsche Bank Securities Inc., Deutsche Bank’s US registered broker-dealer, and Global Head of Mergers & Acquisitions – Legal. Prior to joining Deutsche Bank in 2007, Ms. Bhandari was responsible for Mergers & Acquisitions at Viacom Inc. (now Paramount Global), including for CBS, MTV Networks, Paramount Pictures and BET, among others. Prior thereto, Ms. Bhandari was a corporate associate at the law firm of Davis Polk & Wardwell in New York. She began her legal career as a law clerk for the Honorable John M. Duhé, Jr. of the Fifth Circuit Court of Appeals.
Ms. Bhandari received her J.D. from New York University School of Law, where she served as Notes and Comments Editor of the New York University Law Review. She received her B.S. from Cornell University in Industrial and Labor Relations.
Ms. Bhandari is a Member and Co-Chair of the Fundraising Committee of the Board of Trustees of the Brooklyn Children’s Museum, Chair of the Board of Directors of Teaching Beyond the Square, a Member of the Steering Committee of the Women in M&A Network, NY chapter, and a Member of the Private Sector Steering Committee of the South Asian Bar Association of New York.

Laura Franconi is the Director of Issuer and Global Solutions, responsible for the strategic planning and execution of the company’s corporate and fund issuers and global products. Prior to joining Mediant, Ms. Franconi spent 10 years with JPMorgan Chase, supporting custody and investment banking operations with a focus on corporate actions, depositary receipts, class actions, and income processing.

Seth serves as the Deputy General Counsel, Assistant Corporate Secretary, at Jones Lang LaSalle, a Fortune 200 commercial real estate services firm with annual revenue of $19.4 billion, operations in over 80 countries, and a global workforce of approximately 100,000 employees.
Seth is a trusted legal advisor to the Board of Directors and Global Executive Board on legal, corporate governance, and compliance topics. He has a broad range of legal experience in the areas of commercial contracting, corporate governance, M&A, litigation and dispute resolution, compliance and risk management, and employment law. Seth is a proven and effective leader with experience successfully managing global teams.
Seth has substantial international experience which includes a 3-year assignment (2016-2018) at AkzoNobel’s global headquarters in Amsterdam where he served as Global Director of Investigations and Chief Compliance Officer of its Specialty Chemicals business which was sold to the Carlyle Group (Nouryon). He previously served as a Partner at Kirkland & Ellis in Chicago (2006-2014) and an Associate at Weil, Gotshal & Manges in New York (2003-2006).
Seth is a regularly invited guest lecturer on a variety of legal topics including lectures given at the University of St. Gallen Executive School of Management, Technology and the Law (Switzerland), the University of Chicago Law School and the University of Michigan Law School. Richard Gluckselig is an Associate General Counsel and Assistant Corporate Secretary at Regeneron Pharmaceuticals, Inc., an S&P 500 biotechnology company headquartered in New York whose mission is to help patients with serious diseases. Richard has nearly 20 years of experience advising companies on issues critical to their business. In his current role, Richard focuses on corporate governance, ESG and financing matters, as well as strategic transactions, shareholder engagement and board support. Previously, Richard worked as a member of the securities and public companies practice group of an international law firm in Manhattan. Richard holds a law degree from the University of Michigan and is admitted to the practice of law in New York.
Vice president, director of proxy voting
Jonathan Haymon is Director of Proxy Voting at Federated Hermes, a leading global asset manager. He oversees all proxy voting activities, including the development of Federated Hermes’ proxy voting policy and procedures. Jonathan works within the Responsible Investing Office (RIO) to ensure the integration of material ESG factors in proxy voting and engages regularly with Federated portfolio companies on ESG issues.
Prior to joining Federated Hermes, Jonathan was Head of UK Research at Institutional Shareholder Services. There, he was responsible for the firm’s core research product within the UK, Ireland, and South Africa markets, delivering ESG research and proxy voting recommendations to institutional investor clients and driving development of ISS’ proxy voting guidelines. During this period he was also a member of the UK Financial Reporting Council’s Investor Advisory Group.
Jonathan holds an MBA from London’s Bayes Business School and a BA in Communications from Georgia College & State University.

Lara Huber is the Vice President of Sales of Govenda, where she leads the company’s sales strategy across North America, EMEA, and Latin America.
Since joining Govenda in 2013, Lara has fueled Govenda’s growth since its first customer by leading go-to-market strategies, building solid technology infrastructure, and scalable processes. Lara has over twenty years of experience in sales, leadership, and technology.

Matt Geekie is senior vice president, secretary and general counsel for Graybar, a leading distributor of electrical and communications products and related supply chain management and logistics services. Graybar celebrated in 2019 150 years as a company and 90 years of employee ownership. A member of Graybar’s board of directors, Geekie is responsible for corporate governance and the legal and risk management functions of the company. He also serves as Chairman of Graybar’s Canadian subsidiary. Geekie’s broad-based legal experience includes corporate law, corporate governance, cybersecurity, commercial and securities law, ethics, intellectual property, product liability, export/import law and risk management. Under his leadership, Graybar achieved national recognition for excellence in corporate governance in 2015, 2016 and 2018. Geekie currently serves as a Member of the Board of the St. Louis Community Foundation, as Chair of its Executive and Gift Acceptance Committees, and as a Member of its Finance and Audit and Strategic Planning Committees; as a Member of the Saint Louis Zoo Association Government Relations, Investment, and Long-Range Plan Implementation Committees; as a Member of the Saint Louis Zoo’s Marlin Perkins Society; and as a Member of the Board of The Oasis Institute and on its Executive and Finance Committees. Ben Maiden is the editor-at-large of Corporate Secretary, an IR Media publication, having joined the company in December 2016. He is based in New York. Ben was previously managing editor of Compliance Reporter, covering regulatory and compliance issues affecting broker-dealers and asset management firms in the US and Europe. Before that, he was editor of Euromoney Institutional Investor’s International Financial Law Review and IFLR’s Americas editor, working in London and New York.

Theresa Molloy is vice president of corporate governance at Prudential Financial. In this role, she is responsible for the oversight of Prudential’s institutional investor engagement practice, shareholder communications, and evaluation of the company’s governance policies. Prior to joining Prudential, Theresa was vice president of the global corporate client group at the New York Stock Exchange(NYSE). During her tenure, Theresa led the team that drove the strategy, marketing, and implementation of the investor relations and governance services that the NYSE provided its 3,000 worldwide companies. Theresa is a past president of the National Investor Relations Institute’s (NIRI) New York Chapter, where she served as a board member for seven years. She has an Honorary Doctorate of Humane Letters from the State University of New York and a Master of Social Work from Fordham University.
Senior vice president and corporate secretary
Tim Ring is responsible for corporate governance for MetLife and its subsidiaries, the management of board meetings, and engagement with the company’s institutional shareholders. Tim served as Corporate Secretary previously, from 2013 – 2017.
Prior to resuming this role, Tim was Chief Sustainability Officer, responsible for creating the strategic vision and portfolio of initiatives for the company’s sustainable business practices, corporate responsibility and philanthropic activities designed to increase MetLife’s value proposition. This includes aligning the company’s environmental, social and governance (ESG) policies and activities with the preferences and expectations of shareholders and other significant stakeholders and ensuring they are integrated into the company’s strategy and operations.
Previously, Tim was Associate General Counsel and Chief of Operations for Legal and Compliance globally. He managed the budget and financial performance metrics, oversaw the use of outside counsel and other external resources, evaluated and managed the department’s use of IT solutions and was responsible for the company’s information management program.
Earlier in his career, Tim held various positions within the company’s Government Relations department from 1993 to 2013, including serving as the head of government relations for the Americas region, which encompassed state affairs in the United States as well as managing the government relations activities in six Latin America countries.
Tim joined MetLife’s Public Relations unit in 1990, handling media relations for numerous internal corporate functions and lines of business.
Tim graduated from Fordham University in 1987, where he earned his B.A. in Communications. Tim also holds a J.D. degree from Seton Hall University, where he graduated cum laude.

Brian Short is a corporate transactional attorney and Co-Leader of the firm’s Securities and Capital Markets practice. He focuses on securities, mergers and acquisitions, private equity, venture capital, corporate finance, and general corporate matters.
Brian represents companies, private equity firms, and investment banks in a range of corporate transactions, including negotiating and executing public and private securities offerings, mergers and acquisitions, strategic alliances, and joint ventures. He counsels public and privately held companies on corporate governance and board issues, compliance matters, and periodic reporting.
Brian also represents investors and companies in capital financings, handling both structuring issues and the negotiation of deal documentation. He advises corporate clients across a range of industries, including life sciences, technology, aerospace and defense, business and financial services, and consumer products.
Prior to joining the firm, Brian was a partner at an AmLaw 50 firm and General Counsel and Chief Administrative Officer of a publicly-traded international engineering, information technology, and staffing services company.

Laurence Taylor is a content researcher and conference producer at Corporate Secretary where he is responsible for crowd-sourcing intelligence on the big global issues facing governance teams. In this role, Laurence creates industry-wide conferences overseeing the event all the way from conception to completion.
Prior to this role, Laurence held similar roles with Westminster insight, A UK-based policy organisation for both the private and public sectors. Laurence also produced events for Metal Bulletin, American Metal Market, and Industrial Minerals market.

Prior to joining LG, Mr. Tse was the Vice President and General Counsel of Ligos Corporation, a venture capital backed software company based in Silicon Valley and prior to Ligos, Mr. Tse was the Vice President of Strategic Development and General Counsel of Centerpoint Broadband Technologies, Inc., a Silicon Valley telecommunication equipment company. Mr. Tse started his career as a business and technology attorney at Brobeck Phleger and Harrison LLP in their Silicon Valley office representing technology companies and venture capitalists. Mr. Tse served on the Board of Directors of the Association of Corporate Counsel from 2013-2019 and served as Board Secretary and chaired the Membership Committee and Advocacy Committee during his tenure. Mr. Tse is the co-founder and serves on the Board of the Asian American Legal Foundation and was named one of the best lawyers under 40 by the National Asian Pacific American Bar Association in 2005 and was named as a Legend of the Law by the ABA/Burton Foundation. Mr. Tse holds a B.A. in Economics and Political Science from the University of California at Berkeley where he earned Phi Beta Kappa honors and graduated cum laude from Harvard Law School.

Steve Wade is the head of event content at IR Media Group. As a content researcher, conference producer, and event host for IR Magazine and Corporate Secretary, Steve is responsible for gathering intelligence on public companies’ most significant global issues. Steve’s team develops events that promote excellence in investor relations, governance, and sustainability for issuers and investors.
Prior to Corporate Secretary, Steve’s background was in corporate social responsibility and responsible investment. During his time at Ethical Corporation (now Reuters Events), Steve launched the ESG symposium; an event focused on connecting the socially responsible investment community with corporate sustainability leaders at listed companies. Steve was a judge for the Deloitte Green Frog Awards, celebrating the best corporate reporting in Eastern Europe. Steve also presented research at the Global Sustainable Event Summit in London and has spoken about extra-financial reporting with the United Nations Global Compact, the World Bank, and the Polish Ministry of Finance.
Steve has a BSC in Event Management, is a member of working groups toward improved practices in international event management, and enjoys swimming, rugby and outdoor pursuits in his spare time.

Paul Wierbicki is the General Counsel and Chief Legal Officer of Rush Street Interactive, Inc. and its subsidiaries (NYSE: RSI), a leading online gaming and entertainment company that focuses primarily on online casino and online sports betting in the U.S., Canada and Latin American markets. In addition, Mr. Wierbicki is a member of Rush Street Interactive’s board of directors and its nominating and governance committee. He has also been the General Counsel of LAMB Capital Advisors (the management company for the set of investment partnerships funded by Neil Bluhm and his family) since June 2015. Prior to joining LAMB, Mr. Wierbicki served as Senior Counsel, Business and Legal at AbbVie Inc. and as a Partner at Kirkland & Ellis LLP, specializing in restructuring and debt finance. Mr. Wierbicki served on the board of directors and compensation committee of Green Rivers Spirits Company (f/k/a Terressentia Corporation) from February 2017 and January 2018, respectively, until September 2021 and the board of directors of The Civic Federation from September 2012 to December 2015.
